ICSB organizes webinar on securities laws

Yesterday, a webinar on “Recent Amendments to the Securities Laws: Focus on Corporate Governance” was conducted online by the Institute of Chartered Secretaries of Bangladesh (ICSB).

A keynote address on recent changes to the securities legislation in relation to corporate governance and other ongoing compliances was given by Md. Abul Kalam, Director of the Bangladesh Securities and Exchange Commission (BSEC).

According to a news statement issued today, Mohammed Harun-Ar-Rashid, a member of the ICSB’s Professional Development Subcommittee (PDSC) and a council member, chaired the webinar, while M Nurul Alam, the organization’s acting president, gave the welcome address.

Mohammad Shafiqul Islam Bhuiyan, Council Member and Chairman of the Examination Committee of ICSB, moderated the webinar. M Nurul Alam, President of ICSB, delivered the welcome speech.

He claimed that today’s webinar, which provides company secretaries and computer science professionals with up-to-date knowledge on the most recent BSEC rules and regulations, is crucial.

Mohammed Harun-Ar-Rashid congratulated PDSC and its members for hosting the timely webinar during his remarks. He also mentioned that going forward, ICSB will host regular CPD sessions both in-person and virtually.

A keynote address titled “Recent Amendments to the Securities Laws: Focus on Corporate Governance” was delivered by Md. Abul Kalam, Director of the Bangladesh Securities and Exchange Commission (BSEC).

He covered the BSEC (Commodity Exchange) Rules, 2023, the BSEC (Real Estate Investment Trust Fund) Rules, 2024, and the Amendments to the Corporate Governance Code in his presentation.

He also covered topics such as the submission of annual reports, the redefinition of “Z category companies,” the placement and adjustment of different category of companies, bonus shares and stock dividends, hybrid AGM, and the conduct of AGM, EGM, and Board of Directors (BoD) meetings using digital platforms.

Kalam also discussed the issues of price-sensitive information (PSI) distribution and the ban on insider trading.

A sizable number of ICSB members attended the program. Following the talk, there was an interactive Q&A session where the keynote speaker addressed a range of participant questions.

With a vote of gratitude, Mohammad Shafiqul Islam Bhuiyan ended the meeting.
